Terms of Use

1. Acceptance of these terms

These Terms of Use (“Terms”) are a legal agreement between you and Bluerise Techlead Software Solutions LLC (“Warehouse Pilot”, “we”, “us”, “our”) governing your access to and use of the Warehouse Pilot mobile application (the “App”) and the website at warehousepilot.app (the “Site”, together the “Services”). By downloading, accessing, or using the Services, you agree to these Terms. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation.

2. Definitions

  • “You” means the individual user and/or the organisation on whose behalf the Services are used.
  • “Organisation” / “Customer” means an entity that subscribes to Warehouse Pilot for its users.
  • “SAP System” means the SAP® software environment owned or operated by you or your Organisation that the App connects to.
  • “Activation Code” means the organisation code we issue to connect the App to your SAP System and enabled features.

3. The service & licence

Warehouse Pilot is a mobile application that displays data from, and performs actions in, your SAP System at your direction. Subject to these Terms and any applicable subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on devices you control, for your internal business purposes. We may update, improve, or change the Services over time.

4. Eligibility & accounts

The Services are for business use by organisations and their authorised personnel; they are not intended for consumers or children. Your Organisation’s administrator activates the App with an Activation Code and is responsible for managing which users and devices may access the Services. You are responsible for keeping your devices and sign-in details secure and for all activity that occurs through your access.

5. SAP connection & credentials

The App connects to your own SAP System using credentials you provide, which are stored on your device (see our Privacy Policy). You are solely responsible for:

  • having the necessary rights and valid licences to access and use your SAP System;
  • your compliance with your own agreements with SAP SE and any applicable SAP licensing terms (including named-user and access requirements);
  • the accuracy of connection settings you provide, and the consequences of actions performed through the App in your SAP System (such as confirming tasks or posting counts).

We are not a party to your relationship with SAP, do not provide SAP software or licences, and are not responsible for your SAP System’s availability, configuration, or data.

6. Acceptable use

You agree not to, and not to permit others to:

  • copy, modify, reverse engineer, decompile, or attempt to derive source code from the App, except to the extent this restriction is prohibited by law;
  • rent, resell, sublicense, or make the Services available to third parties outside your Organisation, except as expressly permitted;
  • use the Services unlawfully, to infringe others’ rights, or to access systems you are not authorised to access;
  • interfere with or disrupt the integrity or security of the Services;
  • remove or obscure any proprietary notices.

7. Subscriptions & fees

The App may be downloaded free of charge and used in a limited demo mode. Full use requires an active subscription purchased by your Organisation. Subscription scope, fees, device or site limits, and billing are set out in the applicable order or agreement between us and your Organisation. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and subscriptions renew per that agreement. We may change fees on renewal with reasonable notice.

8. Intellectual property

The Services, including the App, the Site, and all related software, design, and content (excluding your SAP data and your trademarks), are owned by us or our licensors and are protected by intellectual-property laws. Except for the limited licence granted above, no rights are transferred to you. “Warehouse Pilot” and our logo are our trademarks.

9. Third-party services & trademarks

The App connects to SAP Systems and is distributed via third-party app stores; your use of those is subject to their terms. Warehouse Pilot is an independent product and is not affiliated with, sponsored by, or endorsed by SAP SE. SAP® is a trademark or registered trademark of SAP SE in Germany and other countries. All other trademarks are the property of their respective owners. References to SAP describe interoperability only and do not imply any partnership or endorsement.

10. Disclaimers

The services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or secure, or that they will meet your requirements. You are responsible for verifying the results of any action taken through the app in your SAP system.

11. Limitation of liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to the services, even if advised of the possibility of such damages. Our total liability for all claims relating to the services will not exceed the amounts paid for the services in the twelve months preceding the event giving rise to the claim, or, where no fees were paid, USD 100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless Bluerise Techlead Software Solutions LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your misuse of the Services, your breach of these Terms, or your violation of any law or third-party rights, including any claim relating to your SAP System, SAP licensing, or the data and actions processed through it.

13. Privacy

Our handling of information is described in our Privacy Policy, which forms part of these Terms.

14. Term & termination

These Terms apply while you use the Services. You may stop using the Services at any time and uninstall the App. We may suspend or terminate access if you breach these Terms or if required by law, and your Organisation’s subscription governs continued access. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

15. Changes to these terms

We may update these Terms from time to time. We will change the “Last updated” date above and, for material changes, provide additional notice where appropriate. Your continued use of the Services after an update means you accept the revised Terms.

16. Governing law & disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict-of-laws rules. The courts located in Dubai, United Arab Emirates will have exclusive jurisdiction over any dispute, unless mandatory local law provides otherwise.
